These Terms and Conditions (“Terms”) govern all sales, rentals, and services provided by JBG Enterprises (“we,” “us,” “our”), operating from 525 Seaborne Ave, Port Coquitlam, BC V3B 0M3. By purchasing, renting, or ordering products or services from us, you (“Customer,” “you,” “your”) agree to be bound by these Terms.

1. Orders & Quotations

  • All orders are subject to acceptance by JBG Enterprises. Our quotations are valid for the period stated and are subject to change due to price adjustments from manufacturers or suppliers.

  • Specifications and availability are subject to change without notice.

  • Customer is responsible for providing accurate and complete order information.

2. Pricing & Payment Terms

  • Prices are in Canadian Dollars (CAD) unless otherwise specified and are exclusive of all applicable taxes (PST, GST), freight, delivery, insurance, and regulatory fees, which will be added to the invoice.

  • Standard Payment Terms: Net 30 days from invoice date for approved commercial accounts.

  • For new customers or orders exceeding credit limits, we may require full or partial payment in advance.

  • Interest of 1.5% per month (18% per annum) will be charged on overdue accounts.

  • We reserve the right to suspend deliveries or services for any account in arrears.

3. Delivery, Transfer of Title & Risk

  • Delivery dates are estimates only. We are not liable for delays due to causes beyond our reasonable control (e.g., manufacturer delays, weather, logistics).

  • Title to goods passes to the Customer upon full payment of the purchase price.

  • Risk of loss or damage passes to the Customer upon delivery to the carrier (FOB Origin) or upon pickup at our facility.

4. Equipment Rental Terms

  • All rentals are governed by a separate Rental Agreement, which includes specific terms on rental period, rates, liability, insurance, damage waivers, and late returns.

  • The Customer is solely responsible for the safe operation and condition of rented equipment and must comply with all operating manuals and laws.

  • A security deposit and proof of insurance naming JBG Enterprises as an additional insured are standard requirements.

5. Limited Warranty & Disclaimers

  • New Equipment & Parts: Warranty is provided solely by the original manufacturer. JBG Enterprises will facilitate valid warranty claims but makes no warranties of its own beyond those provided by the manufacturer.

  • Used Equipment: Sold “AS-IS, WHERE-IS” with no warranty, express or implied, unless specifically stated in writing in the Bill of Sale.

  • ALL OTHER WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, ARE HEREBY DISCLAIMED TO THE FULLEST EXTENT PERMITTED BY LAW.

6. Limitation of Liability

  • JBG Enterprises’ total liability to the Customer, for any claim arising from a sale, rental, or service, shall be limited to the purchase price of the specific product or service giving rise to the claim.

  • In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or business interruption, even if advised of the possibility of such damages.

7. Returns & Cancellations

  • Our standard Return Policy (available on request) applies to parts and accessories. All sales of new and used equipment are final.

  • Custom orders and special purchases cannot be cancelled once placed with the manufacturer/supplier.

8. Safety & Compliance

  • The Customer agrees to operate all equipment in accordance with safety standards, manufacturer guidelines, and all applicable federal, provincial, and municipal laws, including WorksafeBC regulations.

  • Customer is responsible for obtaining any required permits or licenses for equipment operation.

9. Indemnification

  • The Customer agrees to indemnify, defend, and hold harmless JBG Enterprises, its affiliates, and employees from any claims, damages, losses, or liabilities (including legal fees) arising from the Customer’s use, misuse, or operation of purchased or rented equipment, or from any breach of these Terms.

10. Governing Law & Dispute Resolution

  • These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia and the laws of Canada applicable therein.

  • Any disputes shall be subject to the exclusive jurisdiction of the courts located in Port Coquitlam, British Columbia.

11. General Provisions

  • Entire Agreement: These Terms, together with any signed Sales or Rental Agreement, constitute the entire agreement between the parties.

  • Severability: If any provision is found invalid or unenforceable, the remaining provisions will remain in full effect.

  • Amendments: We reserve the right to amend these Terms at any time. The Terms in effect at the time of the order or rental will govern that transaction.

  • Waiver: Failure to enforce any right or provision will not constitute a waiver.
